The Court of Appeal in a judgment delivered on 10th June 2022 held that directorship does not confer employment status on a director unless he/she enters into an employment contract with the company. Directorship is governed only by the Companies Act, and the company’s Memorandum and Articles of Association, not the Employment Act.
